These Terms of Use ("Terms") govern your access to and use of the website www.frostnfrost.com (the "Website") and the services provided thereon for displaying, managing, and interacting with non-fungible tokens (NFTs) (collectively, the "Services") operated by Frost & Frost, LLC ("we," "us," "our," or "Company"). By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Website or Services. We may modify these Terms at any time. We will post the updated Terms on the Website and update the "Last Updated" date. Material changes will be notified via the Website or other reasonable means. Your continued use after any changes constitutes acceptance of the revised Terms.
1. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) and fully able and competent to enter into these Terms. By using the Services, you represent and warrant that you meet these requirements.
2. Account and Wallet Connection
Certain features require connecting a compatible cryptocurrency wallet (e.g., MetaMask) or creating an account.
You are solely responsible for maintaining the confidentiality and security of your wallet, private keys, and account credentials.
We are not responsible for any loss or compromise of your wallet or account. Notify us immediately of any unauthorized use.
3. Description of Services
The Services enable users ("Creators") to manage their NFT collections.
We do not custody NFTs, cryptocurrency, or digital assets.
All blockchain transactions are executed directly on blockchain and are subject to network fees ("gas fees") paid by you.
We do not guarantee the availability, compatibility, or performance of blockchain network.
4. User Content and Licenses
You retain all ownership rights in the digital content you upload ("User Content").
You represent and warrant that your User Content does not infringe any third-party intellectual property, privacy, or other rights, and complies with applicable laws.
Ownership of an NFT does not automatically confer copyright or commercial rights in the underlying User Content unless explicitly granted by the Creator.
5. NFT License to Buyers
Unless otherwise specified by the Creator:
Purchase or acquisition of an NFT grants the buyer a limited, non-exclusive, non-sublicensable, worldwide license to use, display, and store the associated content for personal, non-commercial purposes.
No commercial rights (e.g., merchandising, derivatives) are granted without separate agreement from the Creator.
6. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of any laws or regulations.
- Engage in fraud, scams, or market manipulation.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
- Use automated means (bots, scrapers) without our prior written consent.
We reserve the right to suspend or terminate your access for any violation.
7. Risks and Disclaimers
NFTs and blockchain technology involve significant risks, including volatility, potential loss of value, and irreversibility of transactions.
You bear all risks associated with using cryptocurrencies, wallets, and blockchains.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not endorse, guarantee, or assume responsibility for any User Content or third-party services.
8. Fees
All blockchain network fees are your responsibility and paid directly to the network.
Royalties, if implemented, may be enforced via smart contracts where supported.
9. Taxes
You agree that you are solely responsible for any sales, use, value-added and other taxes, duties, and assessments claimed or imposed by any government authority, associated with your use of the Services or NFTs, including, but not limited to, any taxes that may become taxable as the result of your ownership, transfer, purchase, or sale of a NFT.
10. Termination Rights
We may terminate or suspend your access to the Services at any time, with or without cause or notice. Upon termination, your rights under these Terms cease immediately.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES.
Our aggregate liability shall not exceed the greater of (a) the fees you paid us in the 12 months prior to the claim, or (b) $20.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, and employees from any claims, liabilities, damages, or expenses (including attorneys' fees) arising from your User Content, use of the Services, or violation of these Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
Any dispute arising out of these Terms shall be resolved exclusively through binding arbitration in Texas under the rules of the American Arbitration Association, except for claims seeking equitable relief.
14. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
No waiver of any term shall be deemed a continuing waiver.
If any provision is held invalid, the remainder shall continue in full force.
We may assign these Terms; you may not without our prior written consent.
